The details of the proposals are as follows: 1. Amendments to the Articles of Incorporation regarding disclosure of Directors' shareholding that may give rise to conflicts of interest: The intent of this proposal is to protect the Company's shareholders other than Mizuho Bank Ltd., which owns 48% of the total number of outstanding shares excluding treasury shares. The proposal seeks to newly establish the following article in the current Articles of Incorporation to clarify the shareholding status of the Company's Directors in Mizuho Financial Group Inc., the wholly-owning parent company of Mizuho Bank Ltd. In the case of the preceding paragraph, if a candidate Director refuses to declare their shareholding status in Mizuho Financial Group Inc. and the number of shares, or they do not declare it within a reasonable period, the Company may substitute the disclosure required under the preceding paragraph with a statement to that effect. 2. Amendments to the Articles of Incorporation regarding the appointment of the Chair of the Board of Directors: This proposal seeks to amend the Article 24 of the current Articles of Incorporation as follows, for the purpose of appointing the Chair of Board of Directors from Outside Directors. Current Articles of Incorporation Chapter 4. On May 15, 2026, Orient Corporation, announced that its Board of Directors resolved to oppose the shareholder proposals submitted by Intertrust Trustees (Cayman) Limited Solely in its Capacity as Trustee of Japan-Up and Strategic Capital Co., Ltd. for the 66th Annual General Meeting of Shareholders scheduled for June 24, 2026. The proposals included: (1) "Amendment to the Articles of Incorporation regarding disclosure of directors’ holdings of potentially conflicting shares," and (2) "Amendment to the Articles of Incorporation regarding the selection of the chairperson of the Board of Directors." The Board opposed the first proposal, stating that although Mizuho Financial Group, Inc. and its subsidiaries hold about 49% of shares, robust governance systems are in place, including a majority of independent outside directors, a Conflict of Interest Management Committee, and annual surveys and disclosures, ensuring independence and fairness. The Board argued that specifying disclosure requirements in the Articles would restrict appropriate disclosure methods and is inconsistent with the fundamental nature of the Articles. The Board also opposed the second proposal, which sought to require the chairperson to be an outside director, explaining that the current system—where the chairperson is a non-executive director with extensive experience and the Board is majority independent—ensures effective oversight and flexibility. The Board maintained that restricting the chairperson role to outside directors would reduce flexibility and is unnecessary given the current governance structure. The proposed shareholders argued that these amendments are necessary to protect minority shareholders and enhance Board neutrality, citing concerns over potential conflicts of interest and past management performance. The Board of Directors urges shareholders to oppose both proposals at the upcoming meeting.
