The Gunma Bank, Ltd. announced that the Bank plans to hold an extraordinary general shareholders meeting with September 30, 2026 as the record date. If Proposal No. 1 (Approval of the Share Exchange Agreement) concerning the share exchange with Daishi Hokuetsu Financial Group Inc. (the “Share Exchange”) is approved and adopted at the Extraordinary General Shareholders Meeting and the Share Exchange becomes effective on the effective date (April 1, 2027 (scheduled)), Daishi Hokuetsu Financial Group Inc. will become the Bank’s sole shareholder from that date onward. Accordingly, because it will no longer be necessary to provide in the Bank’s Articles of Incorporation for the record date for voting rights at Annual General Meetings of Shareholders or for the electronic provision system for shareholders meeting materials, the Bank proposes to repeal the record date system for Annual General Meetings of Shareholders and the electronic provision system for shareholders meeting materials, delete Article 14 (Record Date for Annual General Meetings of Shareholders) and Article 16 (Electronic Provision Measures for Reference Documents for Shareholders Meetings) of the current Articles of Incorporation, and renumber Article 15 and Article 17 onward of the current Articles of Incorporation accordingly (such amendment to the Articles of Incorporation, the “Amendment to the Articles of Incorporation”). The Amendment to the Articles of Incorporation will become effective on April 1, 2027, the effective date of the Share Exchange, subject to the conditions that (i) Proposal No. 1 (Approval of the Share Exchange Agreement) is approved and adopted as proposed at the Extraordinary General Shareholders Meeting and (ii) the Share Exchange takes effect. Article 14 (Record Date for Annual General Meetings of Shareholders) The record date for voting rights at the Annual General Meeting of Shareholders of the Bank shall be March 31 of each year. (Deleted). Article 15 (Text Omitted) Article 14 (The article number shall be renumbered accordingly and the text shall remain unchanged.). Article 16 (Electronic Provision Measures for Reference Documents, Etc. for Shareholders Meetings) (1) In convening shareholders meetings, the Bank shall take measures to electronically provide the information contained in the reference documents, etc. for shareholders meetings. (2) The Bank may omit all or part of the matters provided in the Ministry of Justice Ordinance from among the matters subject to electronic provision measures from the documents to be delivered to shareholders who have requested delivery of documents by the record date for voting rights. In this case, the annual dividend payout ratio (consolidated) will be approximately 40%, and the shareholder return ratio (consolidated), including the acquisition of treasury shares, will be approximately 50%. In order to meet the expectations of stakeholders, the Bank will continue its efforts to strengthen its financial structure and increase shareholder returns.
