KAMEI CORPORATION (the "Company") hereby announces that its subsidiaries, Kamei Vietnam Joint Stock Company (the "KVJ"), Phu & Em Trading Service Co. Ltd., Dai Minh Service And Trading Co. Ltd. and Bao Chau International Distribution Co. Ltd. (collectively, the "KVJ Group"), which are engaged in the wine import and wholesale business in the Socialist Republic of Vietnam, will discontinue operations on August 31, 2026 and commence liquidation proceedings. The Company and its subsidiaries (collectively, the "Group") currently operates across eight business segments: Energy Business, Food Business, Construction Business, Automotive Business, Overseas/Trade Business, Pet Business, Pharmacy Business and Other Businesses. Since the acquisition of shares in KVJ in 2020, the KVJ Group has worked to enhance synergies across the Group and expand the Overseas/Trade Business segment. However, as part of a review of its business portfolio, the Company has decided to liquidate the four subsidiaries comprising the KVJ Group. The impact of this matter on the Company's forecast of consolidated financial results for the fiscal year ending March 2027 is immaterial.

Kamei Corporation revised dividend guidance for the second quarter-end and full fiscal year ending March 31, 2027. For the second quarter-end, the company now expects to pay dividend of JPY 68.00 per share against previous guidance of JPY 65.00 per share a year ago. In addition to the above basic policy, as a result of comprehensive consideration of the "Long-Term Management Policy" revised in May 2026 and revisions to the earnings forecast, the Company has revised its latest interim dividend forecast upward by three yen to JPY 68 per share and its latest year-end dividend forecast upward by three yen to JPY 68 per share. As a result, the annual dividend is planned to increase by six yen to JPY 136 per share, marking the 12th consecutive fiscal year of dividend increases.

Reason for revision: Against the initial forecast, operating profit, ordinary profit and profit attributable to owners of parent are expected to exceed the previous forecast as a result of efforts to ensure a stable supply of petroleum products and implementation of appropriate cost pass-through amid rising crude oil prices due to supply uncertainty caused by the intensifying situation in the Middle East.
