Yamaha Corporation announced that the collective proceedings filed by Elisabetta Sciallis as Proposed Class Representative (“PCR”) against the Company and its subsidiary, Yamaha Music Europe GmbH (located in Rellingen, Germany; represented by Marco Papini; hereinafter “YME”), have been concluded following the granting of the PCR's application to withdraw the proceedings. As previously announced in the notice dated January 10, 2023, titled “Notice Regarding the Filing of Lawsuit Seeking Compensation for Damages Against the Company and Its Subsidiary,” the Company and YME had been named as defendants in a collective proceedings claim filed by a group of claimants proposed to be represented by Elisabetta Sciallis of the UK consumer organization Which? (London, United Kingdom). YME was subject to a UK competition law decision finding that it had engaged in resale price maintenance practices with one UK business partner in connection with the online sale of the Company’s digital piano, digital keyboard and guitar products in the UK from March 2013 to March 2017. In September 2022, a collective proceedings claim was filed alleging that consumers had paid higher prices for the Company's musical instrument products and seeking compensation for the resulting damages. On July 13, 2026, the UK Competition Appeal Tribunal gave judgment and issued an order dismissing the proceedings. The group of plaintiffs consisted of UK consumers who purchased the relevant musical instrument products and was proposed to be represented by Elisabetta Sciallis of the consumer organization Which?. The impact of the dismissal and conclusion of these proceedings on the Company’s consolidated financial results for the current fiscal year is expected to be immaterial.
