Nissha Co., Ltd. revised consolidated earnings guidance for the fiscal year January 1, 2026 to December 31, 2026. For the period, the company now expects Net Sales to be JPY 195,000 million against its previous guidance of JPY 198,000 million, Operating loss of JPY 3,300 million against previous guidance of operating profit JPY 7,000 million, Loss attributable to owners of parent of JPY 6,200 million against previous guidance of profit attributable to owners of parent of JPY 3,200 million and basis loss per share guidance of JPY 130.68 against previous guidance of Basic earnings per share of JPY 67.49. Reason for revision: The Company revised downward its full-year business forecast after considering its results for the six months ended June 30, 2026, along with the latest product demand and foreign exchange trends. Net sales are expected to fall below the previous forecast because the anticipated recovery in tablet demand in the Device segment during the second half of the fiscal year is no longer expected. Operating profit, profit before tax, and profit attributable to owners of the parent are also expected to be lower than previously forecast, mainly due to the goodwill impairment loss recorded during the six-month period, weaker demand trends, and costs associated with production in the decorations field of the Industrial Materials segment.

Nissha Co., Ltd. has decided to postpone the announcement of financial results for the second quarter (interim period) of the fiscal year ending December 31, 2026, originally scheduled for August 6, 2026. The reason for the postponement is the ongoing investigation into inappropriate accounting treatments carried out at USM HEALTHCARE MEDICAL DEVICES JOINT STOCK COMPANY during the period prior to its acquisition, which has made it difficult to conduct proper financial closing for USM. The company anticipates that considerable time will be required for the completion of the investigation, the preparation of its consolidated financial statements reflecting the investigation results, and the audit and review procedures by its accounting auditor. The company will promptly announce the rescheduled date for the announcement of financial results and its policy regarding an application for an extension of the filing deadline for the semi-annual securities report once confirmation has been obtained from the relevant parties and its direction has been determined.

The company also revised consolidated earnings guidance for the FY2026 ending December 31, 2026. For the year, the company expected net sales of JPY 198,000 million; Operating profit of JPY 7,000 million; Profit attributable to owners of parent of 3,200 million and Basic earnings per share to be 67.49 as compared to previous guidance of net sales of JPY 191,500 million; Operating profit of JPY 6,600 million; profit attributable to owners of parent of JPY 2,300 million; and Basic earning per share of JPY 48.54. Reasons for the revision is For the consolidated business forecast for the first half of FY2026 and FY2026, the Company has considered and reviewed the latest demand trends, foreign exchange movements, and risks of fluctuations in raw material costs arising from turmoil in the Middle East situation comprehensively, based on the results for the three months ended March 31, 2026. Net sales are expected to increase compared to the previous forecast because product demand for the tablet in the Devices segment and the field of decorations in the Industrial Materials segment progressed more than initially expected for the three months ended March 31, 2026, combined with the impact on foreign exchange movements under a weaker yen environment. Operating profit is also expected to exceed the previous forecast, reflecting increased profits driven by higher net sales while taking into account the risks of fluctuations in raw material costs. Furthermore, profit before tax and profit attributable to owners of parent are expected to exceed the previous forecast, due to the above factors, as well as foreign exchange gains recorded during the three months ended March 31, 2026. In addition, the foreign exchange rate assumptions are 155 yen per U.S. dollar for the six months ending June 30, 2026 (previous forecast: 145 yen) and 150 yen per U.S. dollar for the full fiscal year (previous forecast: 145 yen).

Nissha Co., Ltd. revised consolidated earnings guidance for the fiscal year ending December 31, 2025. For the year, the company expected net sales of JPY 191,300 million; Operating profit of JPY 3,800 million; Profit attributable to owners of parent and Basic earnings per share to be Nil as compared to previous guidance of net sales of JPY 190,800 million; Operating profit of JPY 6,600 million; Profit attributable to owners of parent of JPY 2,500 million; and Basic earnings per share of JPY 52.80. Reasons for the Revision: For the consolidated business forecast for Fiscal Year 2025, the Company has reviewed the latest demand trends and other relevant factors, considering the results of the nine months ended September 30, 2025. Despite weaker demand for sustainable materials in the Industrial Materials segment and sluggish sales of customer products in contract design/development and manufacturing (CDMO) services of the Medical Technologies segment, Net sales are likely to remain in line with the previous forecast supported by steady demand for tablets in the Devices segment and the commencement of mass production of new products for mobility components in the Industrial Materials segment. However, Operating profit, and Profit attributable to owners of parent are expected to fall below the previous forecast primarily due to upfront expenses related to the launch of mass production of new products for mobility components in the Industrial Materials segment, a decline in demand in sustainable materials for beverages, and stagnant demand in contract design/development and manufacturing (CDMO) services of the Medical Technologies segment.
