Sharp Corporation had announced that it had entered into a monetary loan agreement with financial covenants, as outlined below, with a syndicate of lenders arranged by Mizuho Bank Ltd. and MUFG Bank Ltd. Sharp was currently steadily implementing the medium-term management plan announced in May of 2025. As a result, its business performance had been progressing favorably, and its financial foundation had been improving at a pace exceeding initial expectations. In addition, its efforts under the Asset Light Initiative for its device businesses over the past few years had reached a meaningful milestone, and a solid foundation for regrowth was taking shape. Under these circumstances, it had been discussing with the Banks the renewal of the syndicated loan agreement that was scheduled to mature on April 28, 2026. As a result, a new syndicate with a stronger support structure had been formed, and it had entered into the loan agreement as of March 31, 2026. It intended to effectively utilize the funds as working capital and would continue to strive toward the achievement of the medium-term management plan and sustainable growth. The details of the monetary loan agreement were: Date of conclusion of monetary loan agreement was March 31, 2026; Arrangers were Mizuho Bank Ltd., MUFG Bank Ltd.; Participating Financial Institutions were Sumitomo Mitsui Banking Corporation, Resona Bank, Limited; Principal of debt was JPY 391,400 million; Repayment period was from April 28, 2026 to March 31, 2028; Details of collateral were real estate, movable assets (machinery and inventory), securities, accounts receivable, notes receivable, shares of subsidiaries. The details of financial covenants included in monetary loan agreement were: At the end of each fiscal year, Sharp shall maintain consolidated net assets at not less than 80% of the higher of (i) consolidated net assets at the end of the previous fiscal year, or (ii) consolidated net assets at the end of the first half of the relevant fiscal year; At the end of the first half of the fiscal year, Sharp shall maintain consolidated net assets at not less than 80% of the consolidated net assets at the end of the previous fiscal year; Sharp shall maintain consolidated operating profit, consolidated ordinary profit, and consolidated profit attributable to owners of the parent at zero yen or more for both the first half and the full fiscal year of each fiscal period. The impact of this agreement on its consolidated financial results was expected to be immaterial.
