On May 18, 2026, Denyo Co., Ltd., announced that it had received a written shareholder proposal from Nippon Active Value Fund Plc, a shareholder of the company, regarding an agenda item for the 78th Annual General Meeting of Shareholders scheduled for June 26, 2026. The shareholder proposal, titled "Amendment to the Articles of Incorporation regarding the number of outside directors," seeks to ensure that a majority of the company’s directors are outside directors, amending Article 17 of the Articles of Incorporation accordingly. The Board of Directors, after deliberation by the Nomination and Remuneration Advisory Committee, resolved to oppose the shareholder proposal. The Board cited its existing governance structure, which balances supervisory functions through independent outside directors and swift, accurate decision-making, as well as its selection process for directors based on character, insight, and alignment with the company’s long-term vision and management plan. The Board argued that prioritizing the number of outside directors in the Articles of Incorporation could unnecessarily restrict the selection of director candidates and hinder the formation of an optimal Board in response to future changes, potentially impeding the enhancement of corporate value over the medium to long term.
