Reason for Revision to the Fiscal Year-End Dividend Forecast: The Company places a high value on the interests of shareholders and considers continuous enhancement of corporate value and the return of profits to be among the most important management policies. Regarding dividends, in addition to managing net assets in response to changes in business risks, the Company considers a link to business performance (ROE) over a period of approximately three years, aiming for a medium-term target of a 3% dividend on equity ratio and a consolidated dividend payout ratio of around 30%. The Company also takes into account cash flow forecasts when determining dividend distribution. As disclosed in the “Consolidated Financial Results for the Nine Months Ended December 31, 2025 [Japanese GAAP]” announced on January 29, 2026, the Company’s business performance for the current fiscal year has been progressing steadily, with strong results in both the Environment Business and the Digital Society Business, and is tracking well against the full-year consolidated financial forecasts for the fiscal year ending March 31, 2026 announced on October 31, 2025. NGK Insulators, Ltd. entered into a conditional sale, purchase and transfer agreement to acquire Deutsche KNM GmbH from KNM Process Systems Sdn Bhd on February 26, 2025. The share acquisition will be executed after obtaining approvals from relevant authorities. KNMG’s shareholder has convened an extraordinary general meeting to be held on 30 October 2025 for the purpose of considering and, if thought fit, passing the special resolution for the Proposed Disposal of Deutsche KNM GMBH. KNMG’s shareholders is required to convene the said EGM in the same manner, as nearly as possible, as that in which meetings are requisitioned to be convened by directors of KNMG. This requirement includes compliance with the requirements of the Main Market Listing Requirements.
