Reason for the revisions: Regarding the consolidated financial results forecasts for the fiscal year ending March 31, 2027, net sales and operating income are expected to exceed the previously announced forecasts, mainly due to demand for high value-added products for semiconductor manufacturing equipment exceeding the Company's initial expectations, supported by favorable conditions in the semiconductor industry. In addition, ordinary income and net income attributable to owners of parent are also expected to exceed the previously announced forecasts, as the performance of equity-method affiliates has remained strong due to expanding demand for products for the semiconductor industry.

Nitta Corporation hereby announced that it has received shareholder proposals on the agenda items at the 97th Ordinary General Meeting of Shareholders scheduled for June 25, 2026. The proposals include: (iii) Amendment of the Articles of Incorporation Regarding the Proportion of Outside Directors, (iv) Amendment to the Articles of Incorporation Regarding Disclosure of Action to Implement Management that is Conscious of Cost of Capital and Stock Price, and (v) Amendment to the Articles of Incorporation regarding the record date for the ordinary general meeting of shareholders. The proposal is to amend Article 18 of the Company’s Articles of Incorporation as follows to require that the majority of the Company’s directors be outside directors. The proposal is to add a new chapter to the Articles of Incorporation concerning initiatives related to the Tokyo Stock Exchange’s request for “action to implement management that is conscious of cost of capital and stock price.” The proposal is to amend Article 11 of the Company’s Articles of Incorporation as follows: the record date for the exercise of voting rights at the Ordinary General Meeting of Shareholders of the Company shall be May 15 of each year. These amendments are proposed to the shareholders. The date of the meeting is June 25, 2026. The reason for the change includes the need to introduce shareholders’ and capital markets perspectives into the Board of Directors, to realize management that ensures the Company is appropriately valued by the market and to enhance medium- to long-term corporate value, to promote management that is conscious of stock price, improve the Company’s PBR, and enhance capital efficiency by reducing excess cash and cash equivalents to an appropriate level, to establish an institutional framework for enhancing substantive information disclosure, and to enable investors, proxy advisors, and analysts to review the information and appropriately incorporate their analyses into their voting decisions on each proposal.

Based on this policy, and after comprehensively considering the financial results for the fiscal year ended March 31, 2026 announced on May 8, 2026, as well as the Company's current financial condition and future business developments, the year-end dividend per share for the fiscal year ended March 31, 2026 is scheduled to be JPY 88, an increase of JPY 15 from the previous forecast of JPY 73 per share. As a result, a full-year dividend will be JPY 160 per share, including the interim dividend of JPY 72 per share, an increase of JPY 25 compared to the previous fiscal year's ordinary dividend of JPY 135, excluding the commemorative dividend of JPY 5. The above will be implemented subject to the resolution at the 97th Ordinary General Meeting of Shareholders scheduled on June 25, 2026.
