The Murakami group’s holdings have steadily increased since January, reaching 17.33 percent by late August, making them the largest shareholder block and intensifying pressure on FMH’s leadership. In response, FMH unveiled a defense plan in July requiring any investor seeking more than 20 percent of voting rights to submit a detailed explanation of intent, and, if approved by shareholders, allowing the company to issue free stock warrants to existing investors to dilute Murakami’s influence. Nomura’s notice indicated that if FMH begins preparations to separate or divest its real estate operations, the group will refrain from further share purchases, and that the acquisition plan could be withdrawn if shareholders endorse the defense measure. FMH has demanded additional information from Murakami’s side by December 22, 2025, to allow shareholders time to evaluate the proposal, and will decide whether to convene a shareholders’ meeting by early March to determine whether to activate its defensive strategy.

Other consolidated subsidiaries in the Media & Content Business are also performing steadily overall. Furthermore, in the Urban Development, Hotels & Resorts Business, both property sales and condominium sales have remained strong, and hotel occupancy rates continue to be high, supported by robust inbound demand, leading to progress that exceeds initial expectations. In light of these circumstances, consolidated net sales, operating profit, ordinary profit and profit attributable to owners of parent are all now expected to exceed previous forecasts, and the Company has revised its full-year consolidated earnings forecasts as outlined above.

Fuji Media Holdings Inc. has announced that Executive Managing Director Michiyo Yasuda resigned over her inappropriate expense claims. Yasuda has made inappropriate claims for expenses totaling about 1 million yen in some 60 cases since 2020, including falsifying the number of attendees at dinners. She also resigned as director of Fuji Television Network Inc. Yasuda, a former Fuji TV reporter, was appointed to Fuji Media's board at a shareholders' meeting in June, as part of a management renewal after the group's corporate culture was questioned over its handling of a sexual assault scandal involving former TV star Masahiro Nakai. Fuji Media learned about Yasuda's expense claims in mid-September and investigated past records. She admitted to the irregularities, expressed her intention to refund the money, and offered to resign. She did not make the expenses for personal purposes, such as buying personal belongings, according to the group.
