On May 14, 2026, Kurabo Industries Ltd, announced that it had received a shareholder proposal from Avi Japan Opportunity Trust Plc for the 218th annual general meeting of shareholders scheduled for June 26, 2026. The shareholder proposal included two agenda items: "Amendment of the Articles of Incorporation regarding countermeasures for large-scale purchases of the company’s shares (policy for responding to acquisitions)" and "Abolition of the policy for responding to large-scale purchases of the company’s shares (policy for responding to acquisitions)." The Board of Directors, after careful examination, unanimously resolved to oppose both proposals. For the amendment of the Articles of Incorporation, the Board stated that requiring a resolution of the General Meeting of Shareholders for every introduction or abolition of the response policy would hinder flexible and prompt responses to large-scale purchases that may harm corporate value and shareholder interests, referencing the Ministry of Economy, Trade and Industry’s guidelines. Regarding the abolition of the policy, the Board argued that the response policy is necessary to secure sufficient time and information for shareholders and to negotiate with proposers for the benefit of shareholders, and that the policy is implemented with oversight from an independent committee.
