World Holdings Co., Ltd. (TSE:2429) proposed to acquire remaining 67.09% stake in nms Holdings Corporation (TSE:2162) from a group of shareholders for ¥7 billion on May 29, 2026. A cash consideration of ¥540 per share will be paid by World Holdings Co., Ltd. As part of consideration, ¥6.96 billion is paid towards common equity of nms Holdings Corporation. Upon completion, World Holdings Co., Ltd. will own 100% stake in nms Holdings Corporation. In connection with this tender offer, the tender offeror entered into an agreement with Fumiaki Ono (3.596 million shares, 18.73%) on May 29, 2026, to tender all of his shares in the target company to this tender offer. The tender offeror also entered into agreements with JAIC Supply Chain Fund, L.P. (0.763 million shares, 3.97%), Governance Partners Entrepreneurs Fund (0.346 million shares, 1.80%), GOVERNORS Co., Ltd. (0.2 million shares, 1.04%), and Governance Partners Fund L.P. (0.140 million shares, 0.73%), each to tender all of their shares in the target company to this tender offer. The tender offeror entered into these agreements with all of the shareholders who agreed to tender their shares (5.045 million shares). Regarding the shares (26.27%), each party has agreed to tender them in this tender offer. The transaction is subject to approval of offer by acquirer board and minimum tender. The Tender Offeror has set a minimum purchase quantity of 6,480,800 shares (33.75%) in this tender offer. The Board of Directors of nms Holdings Corporation formed a special committee for the transaction. The deal has been approved by the board. The tender offer period will commence on June 1, 2026. Nagashima Ohno & Tsunematsu acted as legal advisor for nms Holdings Corporation. Daiwa Securities Co. Ltd. acted as transfer agent/registrar for World Holdings Co., Ltd. The Target Company appointed Trustees Advisory K.K. as its third-party valuation firm World Holdings Co., Ltd. (TSE:2429) completed the acquisition of remaining 67.09% stake in nms Holdings Corporation (TSE:2162) from a group of shareholders on July 10, 2026. At the close of the offer, 11,825,411 shares were tendered. The minimum number of shares (6,319,700) tendered condition was satisfied. On completion of the offer, World Holdings Co., Ltd. holds 18,145,111 shares or 94.5% stake in nms Holdings Corporation. As a result of this, World Holdings Co., Ltd. implement a series of procedures (Squeeze-Out Procedure) to acquire the remaining stake not held by offerror.
