Ordinary profit is expected to be JPY 5.8 billion, an increase of JPY 600 million from the previous forecast figures, mainly due to an increase in net sales of completed construction contracts, an improvement in the profitability of on-hand construction work, and an increase in the rate of gross profit on completed construction contracts, which is expected to exceed the previous forecasts. Profit is also expected to increase by JPY 400 million from the previous forecast figures to JPY 4 billion, mainly due to the above factors. ASO Corporation agreed to acquire an additional 8.4% stake in Wakachiku Construction Co., Ltd. (TSE:1888) from Sumitomo Mitsui Trust Bank, Limited, Sumitomo Mitsui Banking Corporation and The Chiba Bank, Ltd. (TSE:8331) for approximately ¥4.8 billion on February 12, 2026. A cash consideration valued at ¥4455 per share will be paid by ASO Corporation. Upon completion, ASO Corporation will own 51.06% stake in Wakachiku Construction Co., Ltd. The Tender Offerors have set a maximum planned purchase quantity of 1,071,262 shares (ownership ratio: 8.42%), in which the Tender Offerors will in total own Company Shares equivalent to 50.10% of the total number of the Company’s issued shares. Accordingly, if the total number of shares tendered in the Tender Offer exceeds the maximum planned purchase quantity (1,071,262 shares), the Tender Offerors will not purchase all or part of the excess portion. The tender offeror will not set a minimum planned purchase quantity, and will purchase all of the Tendered Shares if the total number of the Tendered Shares does not exceed the maximum planned purchase quantity. The purchase period will be from February 13, 2026 to March 13, 2026 with the Commencement Date of Settlement being March 23, 2026.
